This document is an electronic record in terms of the Information Technology Act, 2000 and rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

The Platform is owned by Buildwave Tech, an entity incorporated under the laws of India with its registered office at Kirtipur, Badu Road, Madhyamgram, Kolkata - 700128, West Bengal, India.

1. Acceptance of Terms

By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our services or Platform.

2. Definitions

• "Services" means all services provided by Buildwave Tech, including but not limited to website development, software development, e-commerce solutions, digital marketing & SEO, graphic & UI/UX design, and maintenance & support.
• "User", "You", or "Your" refers to any individual, organization, or entity accessing or using the Platform or Services.
• "Company", "We", "Us", or "Our" refers to Buildwave Tech.
• "Content" means any text, graphics, images, audio, video, software, data compilations, page layout, underlying code and software and any other form of information capable of being stored in a computer that appears on or forms part of this Platform.

3. Eligibility

Use of the Platform is available only to persons who can form legally binding contracts under Indian Contract Act, 1872. Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872 including minors, un-discharged insolvents etc. are not eligible to use the Platform. If you are a minor i.e. under the age of 18 years, you shall not register as a User of the Platform and shall not transact on or use the Platform.

4. Account Registration & Security

If you use the Platform, you shall be responsible for maintaining the confidentiality of your Display Name and Password and you shall be responsible for all activities that occur under your Display Name and Password. You agree that if you provide any information that is untrue, inaccurate, not current or incomplete, We shall have the right to indefinitely suspend or terminate or block access of your membership on the Platform.

5. Services Offered

Buildwave Tech provides various digital and technical services, which include but are not limited to:

• Website Development
• Software Development
• E-Commerce Solutions
• Digital Marketing & SEO
• Graphic & UI/UX Design
• Maintenance & Support

The exact scope of services will be defined in a separate proposal, quotation, or statement of work. Service charges generally range from Rs. 2,000 to Rs. 50,000 depending on the complexity, scale, and requirements of the project.

6. Pricing & Payment Terms

All prices mentioned on the Platform or in any proposal are in Indian Rupees (INR). Payments must be made via authorized payment gateways available on the Platform. There are no hidden charges. GST and other applicable taxes will be charged as per prevailing rates. We typically require an advance payment before initiating any project, the specifics of which will be communicated during the project finalization stage.

7. Order Confirmation & Project Initiation

Once a payment is successfully processed, the User will receive an order confirmation via email. The project initiation process will commence post-confirmation, and our team will get in touch with the User for further requirements, timelines, and deliverables as agreed upon.

8. Intellectual Property Rights

All Intellectual Property Rights related to the Services and deliverables shall remain the property of Buildwave Tech until full and final payment has been made by the User. Upon full payment, the rights to the agreed deliverables (such as custom code, design files, etc.) will be transferred to the User, unless otherwise stated in a specific agreement. The Company retains the right to use the completed project in its portfolio.

9. User Obligations

You agree to provide true, accurate, current and complete information about yourself. You agree not to use the Platform or Services for any unlawful purpose or in any way that interrupts, damages, or impairs the service provided. You are solely responsible for ensuring that your use of the Services complies with all applicable laws.

10. Prohibited Activities

Users are strictly prohibited from:

• Hacking, reverse engineering, decompiling, or disassembling any portion of the Platform.
• Gaining unauthorized access to our systems, servers, or networks.
• Transmitting any worms, viruses, malware, or any code of a destructive nature.
• Hosting, displaying, uploading, modifying, publishing, transmitting, updating or sharing any information that belongs to another person and to which the user does not have any right.

11. Limitation of Liability

In no event shall Buildwave Tech be liable for any indirect, punitive, incidental, special, consequential damages or any other damages resulting from: (a) the use or the inability to use the Services or Platform; (b) unauthorized access to or alteration of the user's transmissions or data. In no event shall Company's maximum liability exceed the amount paid by the User for the specific service in dispute, or Rs. 100, whichever is less.

12. Indemnification

You agree to indemnify, defend and hold harmless Buildwave Tech, its owner, employees, agents, and affiliates, from and against any and all losses, liabilities, claims, damages, costs and expenses (including legal fees and disbursements in connection therewith and interest chargeable thereon) asserted against or incurred by us that arise out of, result from, or may be payable by virtue of, any breach or non-performance of any representation, warranty, covenant or agreement made or obligation to be performed by you pursuant to these Terms.

13. No Warranty / Disclaimer

The Platform and Services are provided on an "as is" and "as available" basis without any representation or warranties, express or implied except otherwise specified in writing. We do not warrant that the Platform will be constantly available, or available at all; or the information on the Platform is complete, true, accurate or non-misleading.

14. Third-Party Links

The Platform may contain links to other websites ("Linked Sites"). The Linked Sites are not under the control of Buildwave Tech, and we are not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site.

15. Modification of Terms

We reserve the right to modify these Terms and Conditions at any time without prior notice. The updated version will be available on the Platform with the "Last updated" date. It is your responsibility to review these Terms periodically for updates / changes.

16. Termination

Either party may terminate the use of Services at any time. We may suspend or terminate your access to the Platform or any Service if it believes, in its sole and absolute discretion that you have breached any of the Terms. All obligations incurred prior to termination shall survive the termination.

17. Force Majeure

We shall not be liable for any failure or delay in performance of our obligations under these Terms if such failure or delay is due to events beyond our reasonable control, including but not limited to acts of God, war, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, network failures, or strikes.

18. Governing Law & Jurisdiction

These Terms shall be governed by and constructed in accordance with the laws of India without reference to conflict of laws principles. Any disputes arising in relation hereto shall be subject to the exclusive jurisdiction of courts in Kolkata/Madhyamgram, West Bengal, India.

19. Severability

If any provision of these Terms is determined to be invalid or unenforceable in whole or in part, such invalidity or unenforceability shall attach only to such provision or part of such provision and the remaining part of such provision and all other provisions of these Terms shall continue to be in full force and effect.

20. Entire Agreement

These Terms and Conditions, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Buildwave Tech in relation to your use of this Platform and supersede all previous agreements in respect of your use of this Platform.
